Terms of Service

1. Agreement to Terms

By accessing or using any services provided by Hella Technology LLC ("Hella Technology," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Services

Hella Technology provides managed IT support, cybersecurity services, cloud backup, and network management under the "Hella Shield" and "Hella Sentinel" product lines. Specific services included in your subscription are described in your service plan at the time of purchase.

3. Subscriptions and Billing

Hella Shield is a monthly subscription service billed at $30 per month. Your subscription renews automatically on the same day each month until you cancel.

By providing your payment information, you authorize Hella Technology to charge your payment method on a recurring monthly basis. You will receive an email notification before each charge.

You may cancel your subscription at any time from the billing section of your client portal. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.

4. Payment Processing

Payments are processed by Stripe, Inc. By subscribing, you also agree to Stripe's Terms of Service. Hella Technology does not store your full card number. Payment disputes should be directed to us at billing@hellatechnology.com before initiating a chargeback.

5. Acceptable Use

You agree not to use our services to violate any law or third-party rights, interfere with the security or integrity of any network or system, or transmit malicious code. We reserve the right to terminate your account for violation of these terms without refund.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We are not liable for downtime due to circumstances outside our control, including internet outages, third-party service failures, or force majeure events.

7. Limitation of Liability

To the fullest extent permitted by Vermont law, Hella Technology's total liability to you for any claim arising from or related to these terms or our services is limited to the amount you paid us in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

8. Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated by reference.

9. Changes to These Terms

We may update these terms from time to time. We will notify you by email or through the client portal at least 14 days before material changes take effect. Continued use of our services after changes take effect constitutes acceptance.

10. Governing Law

These terms are governed by the laws of the State of Vermont, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Chittenden County, Vermont.
